Terms of Service

These Terms of Service (“Terms”) govern your purchase and use of NIK Project OS, a digital product offered under the TRELLARES brand.

1. Seller

The seller is:

“NIK Project OS” is the product name. “TRELLARES” is the public brand under which the product is offered. Neither name should be understood as a separate legal entity.

2. Product

NIK Project OS is a file-based operating system for AI-assisted software development with ChatGPT and Codex.

It is designed to help users:

  • turn an idea into a structured product;
  • preserve approved project truth;
  • plan implementation;
  • prepare READY tasks for Codex;
  • use documented workflows and reusable project structures.

The product is delivered digitally.

The initial release is version v1.0 and is supplied as a downloadable ZIP package containing:

  • setup documentation;
  • ChatGPT configuration guidance;
  • Codex configuration guidance;
  • Project OS working templates;
  • workflow documentation;
  • a project-structure example.

3. Price and Payment

The price is US$29.99 as a one-time payment.

Payments are processed by Paddle, which acts as Merchant of Record for the transaction. Paddle may calculate and collect applicable taxes based on the buyer’s location and the applicable tax rules.

The final amount shown in Paddle Checkout is authoritative for the transaction.

4. Delivery

After a successful verified payment, access to the digital product is provided through a protected download flow.

The product ZIP is not exposed through a permanent public URL. Download access may be provided through a short-lived signed link.

Delivery is conditional on successful payment verification.

5. License

Subject to these Terms and successful payment, the buyer receives a non-exclusive, non-transferable license to use NIK Project OS.

One buyer or one organization may:

  • use NIK Project OS for personal projects;
  • use it for commercial projects;
  • use it on multiple devices owned or controlled by that buyer or organization;
  • use it across an unlimited number of the buyer’s or organization’s own projects;
  • allow team members and contractors to use it only while working on projects belonging to that buyer or organization.

This license does not transfer ownership of the product or its underlying intellectual property.

6. Prohibited Use

You may not:

  • resell NIK Project OS;
  • redistribute the original files;
  • publicly share the original files or substantial parts of them;
  • sublicense the product;
  • publish the product as a separate downloadable product;
  • distribute copies outside the licensed buyer or organization;
  • present the original NIK Project OS files as your own product.

Nothing in these Terms prevents you from using the system, templates, workflows or methods within your own legitimate internal or client projects, subject to the license above.

7. Team and Contractor Access

Team members and contractors may access and use NIK Project OS only for work performed for the licensed buyer or organization.

They do not receive an independent license and may not retain, reuse, resell, redistribute or publish the original product files outside that work.

The buyer or organization is responsible for ensuring that such persons comply with these Terms.

8. Updates

The purchase includes access to v1.x updates if such updates are released.

There is:

  • no guaranteed update schedule;
  • no guarantee that future v1.x updates will be released;
  • no guarantee of ongoing feature development.

Future v2.x versions are not included unless explicitly stated otherwise.

9. No Professional or Outcome Guarantee

NIK Project OS is a workflow and project-organization product. It does not guarantee:

  • successful software delivery;
  • error-free AI output;
  • acceptance of generated code;
  • commercial success;
  • uninterrupted availability of third-party tools such as ChatGPT, Codex, Paddle, Cloudflare or other services.

The buyer remains responsible for reviewing, testing and approving work produced with AI-assisted tools.

10. Third-Party Services

NIK Project OS may refer to or be used together with third-party products or services, including ChatGPT and Codex.

Those services are governed by their own terms, pricing, technical limits and availability. Purchase of NIK Project OS does not include third-party subscriptions, usage credits or guarantees regarding third-party services unless explicitly stated.

11. Refunds

Refunds are governed by the separate Refund Policy available on the website.

Purchases of downloadable digital products are generally treated as final after access is provided, subject to:

  • discretionary refund review;
  • material technical or product-description issues;
  • applicable mandatory consumer rights.

Submitting a refund request does not automatically guarantee a refund.

12. Intellectual Property

NIK Project OS, its original files, structure, documentation, templates, text and original supporting materials remain protected by applicable intellectual-property laws.

Except for the license expressly granted in these Terms, no intellectual-property rights are transferred to the buyer.

13. Availability and Changes

We may make reasonable changes to:

  • product documentation;
  • technical delivery methods;
  • file organization;
  • website structure;
  • supporting instructions.

Such changes do not expand the buyer’s license beyond what is stated in these Terms.

14. Limitation of Responsibility

To the extent permitted by applicable law, the product is provided for the buyer’s own evaluation and use.

The seller is not responsible for losses caused by:

  • improper use of the product;
  • failure to review AI-generated output;
  • third-party platform outages or changes;
  • incompatible changes made by third-party services;
  • loss of access caused by the buyer’s own devices, accounts or environment.

Nothing in these Terms excludes rights or liability that cannot legally be excluded.

15. Consumer Rights

Nothing in these Terms is intended to limit mandatory consumer rights that apply to a buyer under applicable law.

If any provision conflicts with mandatory consumer-protection law, the mandatory law prevails to the extent required.

17. Changes to These Terms

These Terms may be updated when the product, legal requirements or commercial process changes.

The version published on the website at the time of purchase applies to that purchase unless mandatory law requires otherwise.
